1. Your relationship with Mazda Motor Corporation, including Mazda distributors and affiliates within Mazda ("Mazda")
1.1. These terms of use set out the legally binding contract between Mazda and you in relation to the provision of a photo/video by you to Mazda for use in its customer magazine(s), other marketing and promotional efforts and on the internet.
1.2. The first time that you make a photo/video submission you will be asked to read and accept these terms as a condition of doing so. You will be deemed to accept them again each time you make another photo/video submission.
1.3. You may not make a photo/video submission if you are under 18 or are a person who is either barred or otherwise legally prohibited from doing so under the laws of the country in which you are resident or from which you make photo/video submissions.
1.4. Mazda may make changes to these terms from time to time. The most up to date version will be available on our website www.zzmoments.com. If you make a photo/video submission after the date of any change to these terms and conditions, it will be on the new terms.
1.5. Any personal information that you provide to us will be treated in accordance with our Privacy Policy and your use of our websites will be subject to our Terms of Use.
2. Your Submission
2.1. We will not acknowledge or return any photo/video submission made by you, and Mazda is under no obligation to use it. No responsibility is taken for a photo/video submission that does not reach us; proof of sending is not proof of receipt.
2.2. You retain all rights in any photo/video submission you make, subject to paragraph 2.3 below.
2.3. By sending a photo/video submission to us, you grant Mazda a worldwide, perpetual, non-exclusive, royalty-free and transferable license (with the right to sub-license) to use, edit, reproduce, record, modify, translate, distribute, broadcast, play, perform, prepare derivative works of and to display your photo/video submission by any medium or method whether now known or later developed, within the scope stated in 1.1, to be exercised for the full term of copyright and other rights. You agree to waive your moral rights in your photo/video submission.
2.4. You promise that you are the original owner of any photo/video submission you make, or that you have the necessary permissions to authorize us to use your photo/video submission in accordance with paragraph 2.3 above. In particular, you promise that you have obtained the permission of all of the people featured or referred to in the photo/video submission (and if they are under 18 their parents or guardians as well). You agree to give us evidence of all licenses and permissions if requested by us. You acknowledge that the contents of any photo/video submission other than your contact information will be considered non-confidential.
2.5. You are responsible for the content of any photo/video submission you make. You will not upload to our website any material which is defamatory, obscene, unlawful, harmful, offensive or inappropriate or infringes the rights of a third party, or which may have the effect of being harassing, threatening, abusive or hateful, or that otherwise degrades or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age or disability. You agree not to infringe any laws in order to produce or make a photo/video submission.
2.6. You agree not to transfer files which contain viruses or other harmful programs.
2.7. You agree to transfer the files only in acceptable formats as defined by Mazda in the instructions provided on this site.
2.8. You must not endanger yourself or others, or take any unnecessary risks in order to produce or make a photo/video submission.
2.9. You agree not to advertise or promote third parties' or your own goods or services in any photo/video submission (other than those supplied to you by Mazda).
2.10. Your photo/video submission may also be provided to our agencies for use on behalf of Mazda in order to handle your inquiry in accordance with our prescribed privacy policy.
2.11. Aside from the above, your photo/video submission is never provided or sold to any other company for that company's independent use.
3. General Legal Terms
3.1. These terms, together with our website privacy policy referred to above constitute the whole legal agreement between you and Mazda in relation to your photo/video submission.
3.2. Nothing in these terms exclude or limit Mazda’s liability for losses which may not be excluded or limited by applicable law. Subject to this, Mazda shall not be liable to you for any loss or damage which may be suffered by you in relation to your photo/video submission, including indirect or consequential losses such as loss of profit, loss of goodwill or business reputation, or loss of data suffered by you.
3.3. You acknowledge and agree that each member of Mazda may directly enforce, and rely upon, any provision of these terms. Other than this, no other person or company may benefit from these terms.
3.4. These terms, shall be governed by Japanese law. Mazda and you agree to submit to the non-exclusive jurisdiction of the courts of Japan to resolve any legal matter arising from these terms.
